1. Acceptance of Terms By registering to become a City Advisor on one of the websites operated at sub-domains of Flapjaq.com (such websites being referred to as the “Flapjaq Websites,” each a “Flapjaq Website” or “Website,” and Flapjaq.com being referred to as “Flapjaq.com”), which are owned and operated by Domcor, LLC, a Florida limited liability company (“Domcor” or “we” or “us”), you are agreeing to comply with and be bound by the terms of this City Advisor Agreement (“City Advisor Agreement” or the “Agreement”), and our Terms of Use, Code of Conduct, Editorial Policy, and Privacy Policy for the Flapjaq Websites, as amended by Domcor from time to time and as posted on Flapjaq.com, and any other legal notices published by us on Flapjaq.com (collectively, “Legal Terms & Conditions”), all of which are incorporated in and made a part of this Agreement. If you do not agree to the Legal Terms & Conditions then do not complete registration as a City Advisor, and do not access or otherwise use any of the Flapjaq Websites, their services, or any information contained therein or herein. Please review this Agreement and all of the Legal Terms & Conditions carefully before applying to become a City Advisor on any Flapjaq Website.
Capitalized terms not defined in this City Advisor Agreement will have the meanings set forth in the Legal Terms & Conditions.
2. Right to Modify this Agreement & Legal Terms & Conditions Domcor, in its discretion, may change, revise or modify any of the terms of this Agreement or the Legal Terms & Conditions at any time by posting the amended Agreement or Legal Terms & Conditions on Flapjaq.com. Changes shall automatically be effective upon posting. Your continued use of any of the Flapjaq Websites will signify your acceptance of the changes. If you do not accept the changes, your sole and exclusive remedy is to discontinue using the Flapjaq Websites. The latest City Advisor Agreement and Legal Terms & Conditions will be posted on Flapjaq.com, and you should always review them prior to using any of the Flapjaq Websites.
3. City Advisor Registration & Profile Information
Service as a City Advisor is subject to invitation and acceptance by Domcor, in its discretion. Only those invited by Domcor to serve as a City Advisor for a particular Flapjaq Website may complete the registration process and become a City Advisor for such Website. After invitation by Domcor, in order to serve as a City Advisor for such Flapjaq Website, you must complete the separate registration process for City Advisors located in the “Pro Space” linked at the bottom of such Flapjaq Website (“City Advisor Registration”). As part of the City Advisor Registration process, you will choose your own username and password, and you must provide all of the information required in the City Advisor Registration form, and then separately complete your public Profile (“Profile”) on such Flapjaq Website for which you will serve as a City Advisor (referred to herein as the “Site”). You must use the same username for your Profile as you used in the City Advisor Registration. In completing your Profile, you will have the options and must comply with the terms set forth in this Agreement, including without limitation Section 6 of this Agreement. After you properly complete your City Advisor Registration and Profile, you will be assigned a “Flapjaq Advisor Avatar” which will appear beside all your postings on the Site, and thereby help identify you as a City Advisor for such Site.
You represent and warrant to Domcor that all information provided by you in your City Advisor Registration form, in your Profile, or otherwise, is truthful, accurate, and complete, and includes and discloses all facts and matters required for the information provided not to be misleading. You agree to notify Domcor of any changes in any of your City Advisor Registration information or your Profile which may hereafter occur. You will update your Profile as needed to keep it current at all times, and you will maintain with Domcor at all times, complete, truthful and currently updated information answering all items in the City Advisor Registration form and in your Profile. Registration and acceptance of you as a City Advisor by Domcor, will provide you special posting privileges on the Site on which you have registered as a City Advisor, enabling you to provide the City Advisor Service, as described below, on such Site.
4. City Advisor Service and City Advisor Content
Each Flapjaq Website provides a venue where, as a designated “City Advisor” on such Site, you will answer questions posted by other Users of that Site, drawing upon your particular knowledge and expertise regarding the city which is the subject matter of such Site (the “City”), and you will provide the services defined below as the City Advisor Service, upon the terms set forth in this Agreement. All answers, questions, and other content you post on

the Site are referred to in this Agreement, collectively, as the “City Advisor Content.” The specific features, layout, design, and acceptable content of each Flapjaq Website shall be determined solely by Domcor, in its discretion, and are subject to change or termination without notice. You have no rights in and to the Site or any Flapjaq Website or its services or in or to any use or continued use of such Site or services.
The main purpose of the City Advisor Service is to provide high quality, accurate, concise and timely answers to the questions pertaining to the City that Users ask on the Site for which you are a City Advisor. By registering as a City Advisor, you agree to perform the following services in the manner and in compliance with all of the conditions and requirements described in this Agreement, on the Site or on Flapjaq.com, or otherwise provided to you in writing, including by e-mail, by Domcor (collectively, the “City Advisor Service”):
4.1 After you have registered and been accepted by Domcor as a City Advisor on the Site, you will comply with the requirements stated in the Summary of Responsibilities for City Advisors provided on the Site or on Flapjaq.com, or e-mailed to you, as well as with the terms of this Agreement and all of the Legal Terms & Conditions.
4.2 When any User posts a question on the Site, it will automatically be e-mailed to you (at the e-mail address you provided in your City Advisor Registration on the Site, which you shall keep accurate and up to date at all times).
4.3 Drawing upon your knowledge and expertise regarding the City, or information which you can reasonably research and find, you will use reasonable efforts to provide accurate, concise, and timely answers to the User questions e-mailed to you from the Site. Your provision of accurate, concise and timely answers, or e-mailing Domcor (at Support@Flapjaq.com) with suggestions of others to answer questions when appropriate, will be much appreciated by Domcor. This will help to provide high quality answers that will make the Site more useful to Users and in turn drive more traffic to the Site and more interest in the City.
4.4 You will post your answers on the Site via the special posting privileges given to you as a City Advisor, which may or may not, at any time, include the ability to post via e-mail. Your particular Flapjaq Advisor Avatar will appear beside each of your answers and postings on the Site, to distinguish them as City Advisor answers or postings.
4.5 In writing and posting your City Advisor answers, you will comply with this Agreement, any special City Advisor Guidelines posted on the Site or on Flapjaq.com, or provided to you by Domcor, as well as the Terms of Use, Code of Conduct, Editorial Policy, Privacy Policy and all of the Legal Terms & Conditions of the Flapjaq Websites.
4.6 Your answers, and any questions you choose to post on the Site, usually will appear immediately on the Site upon your posting them, without moderation or approval. However, Domcor, in its discretion, may at any time or from time to time, choose to review and/or moderate any City Advisor Content. Domcor, in its discretion, may delete or modify any of your answers or other City Advisor Content or other content on the Site and/or on any of the Flapjaq Websites, at any time, without providing notice, reason or explanation to you.
4.7 Domcor, in its discretion may, but does not undertake to and shall not be required to, review any of your answers or questions. Domcor is not responsible for your answers or any City Advisor Content you post on the Site or on any Flapjaq Website, and you specifically indemnify and hold harmless Domcor and its Affiliates as provided in this Agreement.
4.8 You will provide such other advice and consultation to Domcor regarding the City, the Site, and content for the Site as Domcor from time to time may reasonably request.
You will be solely and fully liable and responsible for all activities by you and for all City Advisor Content posted on the Site under your username and password, and you specifically indemnify and hold harmless Domcor and its Affiliates from and against any Claims arising out of your City Advisor Content or any activity by you on, in connection with or relating to the Site or any of the Flapjaq Websites, as provided in this Agreement, including without limitation Section 14 of this Agreement.
Domcor may, but has no obligation to review, screen, or edit any of your answers or City Advisor Content or any other content on the Site, and Domcor shall have no responsibility or liability of any kind for any City Advisor Content or other content on the Site.

All of your City Advisor Service for Users must be performed on the Site. You are prohibited from performing City Advisor Services off the Site regarding any problem or question posted on the Site. You will comply with all provisions of this Agreement, including without limitation, the Confidentiality and Non-Solicitation restrictions contained in Sections 11 and 12 of this Agreement.
5. No City Advisor Compensation
Your service as a City Advisor is on a volunteer basis, and you will not receive any compensation for your City Advisor Service, for any City Advisor Content you submit to or post on the Site, or for any services you provide as a City Advisor. You are prohibited from negotiating payment from a Site User to yourself for any City Advisor Service provided on the Site.
During your service as a City Advisor, however, you will have a City Advisor Profile on the Website and receive such recognition on the Site as provided below.
6. City Advisor Profile & Recognition on the Site
You will have a Profile which you will post on the Site, designating you as a City Advisor, and each of your City Advisor answers will appear under your username and will be marked with your particular City Advisor Avatar, which will identify you as a City Advisor. At a future time, Domcor may, but shall not be obligated to, provide a function linking your username and/or City Advisor Avatar to your Profile. You will complete your Profile as part of the City Advisor Registration process. Your Profile must contain the information designated as required in the form for completing your Profile on the Site, and may contain additional optional information, as permitted by the form for completing your Profile. Your Profile may, for example, contain your photo, certain biographical data, such as information on professional positions you hold, your qualifications, knowledge base, and expertise regarding the City, and certain URL links, including links to your website, Facebook page, or other social media sites you maintain; provided that only such information or links as permitted by the Profile form and instructions provided on the Site or in connection with the City Advisor Registration process may be included. Domcor will have no obligation to vet or verify any information provided by any City Advisor about himself or herself or his or her qualifications. With respect to your City Advisor Profile and City Advisor Content, you make all of the representations and warranties, and undertake all of the City Advisor covenants, set forth in this Agreement, including without limitation those stated in Sections 8 and 10 of this Agreement.
Domcor, in its discretion, may, but shall not be required to, review your City Advisor’s Profile, and amend any typing or spelling errors or modify or delete any content. Domcor cannot and will not examine the truthfulness or accuracy of the details in the City Advisors’ Profile information or in any of your postings or City Advisor Content. However, Domcor may, in its absolute discretion, remove or refuse to post or transmit any content uploaded by you or any City Advisor, including without limitation any content deemed by Domcor to violate this City Advisor Agreement or any of the Legal Terms & Conditions.
As a City Advisor you may also receive such other recognition and mention on the Website as Domcor, in its discretion, may hereafter determine to include. This may include, for example, listing in any directory of City Advisors, if any, which Domcor may hereafter choose, but shall not be required, to add to the Site.
7. City Advisor Qualifications & Requirements
City Advisors are appointed by invitation of Domcor, in its discretion, only. Service as a City Advisor is subject to Domcor’s invitation and acceptance, and satisfactory completion of the City Advisor Registration, as determined by Domcor in its discretion. Only those invited by Domcor to serve as a City Advisor may complete the registration process and become a City Advisor for any particular Flapjaq Website.
In selecting and inviting persons to serve as City Advisors for a particular Flapjaq Website, Domcor aims to select persons who possess and/or have access to and can share from a broad base of knowledge and information about the City covered by such Website. Domcor selects City Advisors from persons whom Domcor, in its discretion, deems appropriate. City Advisors may include, without limitation, City officials, members of official tourist boards, convention or visitors bureaus, economic development officials or personnel, elected officials, City managers and administrators, parks and recreation officials, or other City agencies or personnel, persons from non-profit organizations, professionals, business persons, and others whom Domcor may select.
Domcor may in the future, but shall not be required to, implement on some or all of the Flapjaq Websites an additional selection process for Users to apply to become accepted as City Advisors, or as Interns or for similar positions, by, for example, demonstrating knowledge and expertise regarding the City and subject matters covered on such Website, by providing a certain quantity of high quality answers on the Website, and/or by meeting such

other criteria as Domcor, in its discretion, may establish (including potentially, without limitation, achieving a certain percentage of positive User ratings through any ratings system that Domcor may establish).
All City Advisors serve voluntarily, and your continued affiliation with the Site as a City Advisor is subject to Domcor’s discretion. Either you or Domcor may terminate your service as a City Advisor and/or your affiliation with and account on the Site at any time, without providing any reason for such termination, as provided in Section 16 of this Agreement.
8. City Advisor Representations, Warranties, and Covenants
By completing the online City Advisor Registration process and clicking agreement to this City Advisor Agreement, you represent, warrant, and agree, without limitation to any other provisions of this Agreement, that:
8.1 All information you provide about yourself to Domcor as part of the City Advisor Registration process, in your Profile, or on the Site relates to yourself only and is accurate, truthful, complete and not in any respect misleading, and you will promptly update it as necessary so that it remains so. If any change occurs in your employment or any other change occurs which may make you unqualified or ineligible to be a City Advisor on the Site, you will immediately notify Domcor by e-mail (to Support@Flapjaq.com) of such change or event, and if requested by Domcor, in its discretion, cease answering questions on the Site.
8.2 You are at least 18 years of age, and if you represent a legally organized entity that is submitting a City Advisor registration, you are authorized to represent such entity and to sign the City Advisor Registration form on its behalf and bind it.
8.3 You will not misrepresent yourself or create a misleading name, username, Profile or listing.
8.4 You will not use the Site in any way to solicit or contact any Users to ask or answer questions on any other website or any other channel.
8.5 You will use reasonable care to provide competent answers that are within your fields of knowledge or expertise.
8.6 You will be solely responsible for the City Advisor Service you provide on the Site or to Users, and you indemnify and hold Domcor and its Affiliates harmless from all Claims or liability of any kind as provided in this Agreement, including without limitation Section 14.
8.7 You agree and acknowledge that nothing regarding your participation on the Site or selection or acting as a City Advisor shall be considered as an endorsement, referral or recommendation by Domcor or any other City Advisor of you or the answers or City Advisor Content you provide, and you will not, either on the Site or in any other forum or by any other means, suggest such an endorsement.
8.8 You agree and acknowledge that City Advisors shall not provide or purport to provide expert legal, financial, accounting, medical, or other professional advice of any kind via the Site or any Flapjaq Website, and shall not act in a manner or engage in a form of communication that would establish or imply the establishment of a professional-client relationship with any User on the Site.
8.9 If a User question appears to involve or relate to any legal, financial, accounting, medical, psychological, or other professional information, or potentially to call for advice which should be, or may only lawfully be, provided by a licensed professional, you will notify Domcor of such question, and not answer it, or if you do answer any such question, you will specifically state in your answer words to the effect: “This answer is for information only and does not constitute legal, financial, accounting, medical or other professional advice of any kind. You question appears to require professional advice, and you should consult a licensed professional in the fields to which your question relates.”
8.10 You will not do anything to manipulate, undermine, or disrupt the integrity of any User, City Advisor or other feedback ratings, reports or systems on the Site, if any, including but not limited to filing false reports about any other City Advisor(s) or communicating with other City Advisors about a plan of filing reports or making complaints about other City Advisors on or affiliated with the Site or any Flapjaq Website or other website owned or operated by Domcor or its affiliates. You will not harass or threaten any other User of the Site.
8.11 In all your conduct, answers, and other City Advisor Content you post, you will abide by all of the terms of this Agreement, the Code of Conduct, Editorial Policy (subject to this Agreement), and all other Legal Terms & Conditions of the Flapjaq Websites, and comply with all the laws, rules, regulations, and ethical standards pertaining to your profession and/or the profession applicable to any question which you answer.

8.12 No User shall be charged any fees or billed any other amounts for the City Advisor Service or the answers provided by City Advisor to any User of the Site.
8.13 Any exchange of contact information or other private communication between Users and City Advisors must not be done on or via the Site or any Flapjaq Website. If you have any communication with a User which contains personal information or relates to topics other than answering User questions appropriate to the Website’s content and Q&A platform, you must carry out such communication privately, by e-mail or otherwise, and not on or via the Site or any Flapjaq Website’s platform.
8.14 You will not disobey or breach this City Advisor Agreement or any other applicable instructions conveyed by Domcor or its officers or posted on Flapjaq.com or the Site.
8.15 You will not stalk, threaten or harass Users or other City Advisors or infringe or attempt to infringe upon their privacy. You will strictly comply with this Agreement, the Terms of Use, Code of Conduct, Editorial Policy, (subject to this Agreement), Privacy Policy and all of the Legal Terms & Conditions of the Flapjaq Websites.
8.16 You will not make any statement that disparages the Site, any of the Flapjaq Websites, or Domcor, its services, products, directors, officers, employees, shareholders or agents (i) on the Site or on any Flapjaq Website, (ii) to any Users of the Site or of any Flapjaq Website, or (iii) in any location outside of the Site, except as required by law or in communications exclusively to Domcor.
8.17 You will not provide information on any other websites about Domcor, the Site, or any of the Flapjaq Websites without Domcor’s specific prior written consent to such provision of information and prior written approval of such information, unless you expressly state that your statements are not made on behalf of, and have not been approved by, Domcor.
9. Informational and Educational Purposes Only
The Site is a venue for informational and educational purposes only. The formation of a professional-client relationship on the Site is prohibited, and no use of the Site or any Flapjaq Website shall constitute or give rise to a professional-client relationship. You must comply with all of the requirements set forth under “City Advisor Representations and Warranties” above, including without limitation those set forth in paragraphs 8.9 and 8.10.
10. Content and License
You agree that you will not post, display, submit, publish or transmit City Advisor Content or content in your Profile that: (i) is unfair or deceptive under the consumer protection laws of any jurisdiction, including chain letters and pyramid schemes; (ii) is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights; (iii) creates a risk to a person’s safety or health, creates a risk to public safety or health, compromises national security, or interferes with an investigation by law enforcement; (iv) impersonates another person; (v) promotes illegal drugs, violates export control laws, relates to illegal gambling, or illegal arms trafficking; (vi) is unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (vii) involves theft, money laundering or terrorism; (viii) violates this Agreement or any of our Legal Terms & Conditions or (ix) is otherwise malicious or fraudulent.
You represent and warrant that: you own or have the necessary rights and permissions to use and authorize us to use all Intellectual Property Rights in and to any User Content or City Advisor Content you post on any Flapjaq Website. You hereby grant Domcor a free, worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, transmit and perform your City Advisor Content and/or User Content, on the Site or on any other Flapjaq Website or other website owned or operated by Domcor, or for the purpose of performing the City Advisor Service or promoting the City Advisor Service, the Site, any of the Flapjaq Websites or any website owned or operated by Domcor. You also hereby grant the applicable User a non-exclusive right to use, reproduce, distribute, prepare derivative works of, display and perform your City Advisor Content contained in your answers to questions posted by such User. Your City Advisor Content constitutes “User Content” under the Terms of Use of the Flapjaq Websites and you are a “User” thereunder. As a User, you further specifically grant to Domcor all of the licenses, rights, and interests in and to, and make all representations and warranties with respect to, your City Advisor Content, as User Content, that each User grants and/or makes to Domcor in, to and with respect to all User Content under and pursuant to the terms of the Terms of Use of the Flapjaq Websites, all of which are incorporated herein by reference. You agree and acknowledge that your City Advisor Content and your public Profile submitted to the Site may appear on the Site,

on other Flapjaq Websites, and potentially on other websites to which it may be forwarded or linked by other Users, and on other Domcor websites, perpetually or as long as Domcor, in its discretion, may determine.
11. Non-Solicitation
You are prohibited from negotiating payment from any User of the Site or of any other Flapjaq Websites regarding your answers or City Advisor Service provided via the Site or other Flapjaq Websites, and you shall not discuss with other City Advisors or Users compensation for answers you provide via the Site or other Flapjaq Websites. In your communications with Users via the Site or in the course of providing the City Advisor Service, you are not permitted to post on the Site anything other than answers to questions, legitimate requests for information, or communications letting the Users know you are working on an answer (if you are, in fact, doing so), or questions. You are not allowed to seek or provide contact information from or to other Users of the Site. You shall not solicit Users via the Site or via any Flapjaq Website, or use User names, e-mail addresses or contact data obtained from the Site or from any Flapjaq Website to solicit Users by other means, for the provision of services or products by yourself or by any other person or entity. Except as may be specifically requested in writing by Users, you are not permitted to e-mail Users or to sell, transfer, disclose, or use Users’ e-mail addresses or other contact information in any way.
12. Confidentiality
City Advisors are granted access to the Site beyond the access granted to other Users and, as such, will have access to information not known by other Users of the Site. Any information obtained by you via the Site or any Flapjaq Website, in connection with your service as a City Advisor or provision of the City Advisor Service, or from Domcor, concerning any User, any Flapjaq Website or its software, functioning, design, construction, development, business plan, operations, User list(s), other City Advisors, or Domcor or any of its Affiliates, including without limitation any software, technology, trade secrets, intellectual property, or any business plans, customer lists, operational procedures, design formulas, programming, HTML, CSS or source code, know-how, processes, computer programs, inventions, discoveries or improvements of any kind shall constitute confidential and proprietary information of Domcor (“Confidential Information”). You (i) shall maintain all Confidential Information in strictest confidence, (ii) shall use such Confidential Information in confidence and only in connection with your legitimate activities as a City Advisor on the Site, (iii) shall not use Confidential Information for the purpose of or in connection with developing, operating or participating in any competing service, and (iv) shall not disclose Confidential Information to any other person or entity, except to the extent required by law or court order by a court of competent jurisdiction, and then only after giving written notice to Domcor of such intended disclosure a reasonable time prior to making any such legally required disclosure so as to give Domcor a reasonable opportunity to seek a restraining order or other appropriate legal protection from a court of competent jurisdiction or other appropriate legal or regulatory authority prior to such disclosure.
13. Privacy
You will abide by the Privacy Policy of the Flapjaq Websites and use your best efforts to safeguard Users’ privacy. You must treat any Personal Information (as defined in the Terms of Use or Privacy Policy) provided by any User and available to you as a City Advisor in compliance with the Website’s Terms of Use and Privacy Policy and as Confidential Information in accordance with this Agreement.
14. Indemnification
You agree to defend, indemnify and hold harmless Domcor, its members, officers, directors, employees, agents, representatives, affiliates, and their respective officers, directors, employees, agents, and representatives (all of the foregoing, collectively “Affiliates”) from and against any and all claims, causes of action, damages, obligations, losses, liabilities, judgments, costs and expenses of any kind, including but not limited to attorney’s fees (collectively, “Claims”) arising from your City Advisor Content, your conduct or use of the Site or any Flapjaq Website, or provision of the City Advisor Service, including, without limitation, any Claims that result from any answer provided by you on the Site or to any User. This defense and indemnification obligation will survive the termination of this City Advisor Agreement and your use of the Site.
15. Security of City Advisor Accounts
You may not share your account on any Flapjaq Website with, nor use the account of, anyone else. You will be solely and fully liable and responsible for all activities and answers provided under your username and password. You must notify Domcor immediately of any breach of security or unauthorized use of your account. You will be liable for, and you indemnify and hold harmless Domcor and its Affiliates from and against, any Claims or liability of any kind arising from or related to any use made of your account or password, and all losses, damages, liability, costs, and expenses of Domcor or others due to such unauthorized use. Domcor and its Affiliates will not be liable for any losses, damages, liability, costs or expenses suffered by you as a consequence of any unauthorized use of your account.

16. Termination of City Advisor Services and Accounts
Either you or Domcor may terminate your role as a City Advisor on the Site at any time without cause by providing e-mail notice of termination to the other in accordance with Section 18 of this Agreement, with or without providing a reason for such termination. Such termination will be effective upon the termination date stated in such notice, or will be effective immediately upon transmission of the notice, if no termination date is stated. After any such termination, your City Advisor Content and any public Profile you submitted to the Site may continue to appear on the Site, and potentially on other websites to which it may be forwarded or linked by other users and on other Flapjaq Websites and Domcor websites, perpetually or as long as Domcor, in its discretion, may determine. However, after any such termination, Domcor will designate the dates of your service as a City Advisor to the Site in your Profile or elsewhere on the Site. After termination, your City Advisor Content remaining on the Site or other Flapjaq Websites or Domcor websites may or may not continue to be designated as City Advisor Content, in Domcor’s discretion. Domcor also may suspend or terminate your account on or in connection with the Site at any time, without providing notice or reason. If Domcor suspends or terminates your account, you may not open a new account (under your name, a fictitious name or someone else’s name), without Domcor’s specific consent.
17. Assignment
This City Advisor Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Domcor without restriction.
18. General
You are acting as an independent contractor, and no relationship (such as partnership, agent, joint venture, or employee) between you and Domcor is created by this City Advisor Agreement or your participation on the Site or on any Flapjaq Website. We reserve the right to discontinue or modify any aspect of the City Advisor Service, the Site, any or all of the Flapjaq Websites, or this Agreement at any time. This City Advisor Agreement and the relationship between you and Domcor are governed by and construed in accordance with the laws of the state of Florida, without regard to its conflict of laws principles. You and Domcor agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Broward County, Florida, and waive any jurisdictional, venue, or inconvenient forum objections to such courts. If any provision of this City Advisor Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this City Advisor Agreement, which shall remain in full force and effect. No waiver of any term of this City Advisor Agreement shall be deemed a further or continuing waiver of such term or any other term, and a party’s failure to assert any right or provision under this Agreement or under any of the Legal Terms & Conditions shall not constitute a waiver of such right or provision or any other right or provision under this Agreement of any of the Legal Terms & Conditions. Any notice required or permitted under this Agreement shall be in writing, and shall be effective when sent by e-mail (with delivery or read receipt requested), (i) if to you, to your e-mail address provided to Domcor with your City Advisor Registration, as you may have updated it on the Site, and (ii) if to Domcor, to Support@Flapjaq.com.
